At the September 2022 RMHA General Membership meeting, members in attendance voted to reinstate the posting of RMHA Board meeting recordings to the RMHA website. As the RMHA was previously advised on this topic by legal counsel, the Board voted to revisit that advice and requested an updated conversation with counsel on the topic in 2023. The most recent advice from counsel is consistent with previous advice.
Legal counsel advised the RMHA Board that directors of a non-profit corporation have a legal duty to the corporation organization to support actions duly taken. Recordings can be misinterpreted, altered in bad faith, or otherwise cause confusion due to the individualization of directors’ opinions versus the overall vote of the Board captured in the written minutes of the meeting. Therefore, counsel suggests the RMHA delete and refrain from posting meeting recordings. Pursuant to KRS 272.233 and KRS 273.227(2) of KY Law (corporations are required to keep minutes of proceedings), the RMHA will continue to keep minutes of the Board meetings and make them available to the members in a timely fashion.
